Dollar and yuan tranches take shape
People familiar with the 12 October investor call put the proposed dollar tranches at US$1.5 billion to US$2 billion and the offshore yuan portion at 20 billion yuan to 25 billion yuan. They said Tencent management expected the proceeds to serve primarily general corporate purposes, including AI-related capital expenditure. The bulk of that AI spending would be directed towards chip purchases.
Reuters reported that a term sheet it reviewed had not set a deal size. It described the proposed securities as senior unsecured notes under Tencent’s global medium-term note programme. The company may offer 10-year and 20-year dollar bonds alongside 10-year and 30-year offshore yuan bonds, subject to market conditions.
JPMorgan, Goldman Sachs, HSBC and Morgan Stanley are leading the dollar offering, according to the term sheet reviewed by Reuters. ICBC (Asia), Agricultural Bank of China, Bank of China, Bank of Communications, China Construction Bank, CITIC Securities, HSBC and JPMorgan are leading the yuan tranche.
Tencent said completion of the note issue depended on market conditions, its funding needs and investor demand, Reuters reported. The company also said it had entered into no binding agreement. Those conditions leave the proposed amount and the final mix of maturities dependent on the sale going ahead.
Tencent’s 52.8 billion yuan spending quarter
Tencent increased capital expenditure on AI projects and computing by 176 per cent to 52.8 billion yuan in the June quarter, with a free-cash outflow of 13.8 billion yuan. The proposed borrowing would give the company another source of funding for equipment purchases after that rise in spending.
Tencent said during the investor call that it currently had no plans to issue shares or convertible bonds, according to people familiar with the discussion. The planned sale instead centres on conventional debt in two currencies, with maturities that could extend to 30 years for the offshore yuan notes.
Tencent has been increasing AI expenditure as it seeks to catch up with ByteDance and Alibaba. People familiar with the matter expected its capital expenditure to remain elevated through the rest of 2026 and into 2027. Based on the second-quarter level, they estimated annual spending at slightly more than 200 billion yuan.
June bond sale provides a comparison
Tencent raised US$4.66 billion in June through a four-part sale of dollar and offshore yuan notes. An earlier Bloomberg report published by The Straits Times described that fundraising as nearly US$4.7 billion and said its proceeds were mainly intended for refinancing and general corporate purposes, including AI products and services.
The June transaction was Tencent’s largest debt offering since 2020, Bloomberg reported. Around US$22 billion of its offshore notes were outstanding, with no public bonds maturing in 2026 and one dollar bond due in 2028. AI Affairs had previously reported Tencent’s consideration of an offshore bond sale of up to US$5 billion.
Goldman Sachs credit strategists put global AI-related debt issuance above US$575 billion in 2026. SoftBank Group raised the equivalent of US$11.1 billion in September through a corporate junk-bond offering intended to fund its AI plans. Tencent’s proposed notes would add another transaction to that borrowing activity if the sale proceeds.
Tencent could price the proposed bonds as early as 13 October, according to people familiar with its investor call.
